Terms and Conditions for the Use of www.sok.studio

The current Terms and Conditions govern the relationship between Alexander Herzog in his capacity as individual, operating thewww.sok.studio website (the Sok Studio Website), hereinafter referred to as "Merchant", on the one hand, and the users of Internet pages and services provided by the Merchant through the website.

www.sok.studio is a web application with e-shop functionalities through which customers can order software design and development services.

Regarding the Terms and Conditions

Please read the published General Terms and Conditions in their entirety before using the information and commercial services offered on the Sok Studio Website (the Services for short).

This document contains information about the general terms and conditions for using the services provided through the Sok Studio Website, regulating the relationship between us and each of our customers.

Confirmation of the General Terms and Conditions is a necessary and mandatory condition for the conclusion of the contract between the Client and the Merchant.

By accepting the Terms and Conditions, the Customer binds himself to the Merchant in contractual relations, which are fully regulated in these Terms and Conditions. The act of acceptance of the Terms and Conditions has the legal consequence of concluding a contract through remote means and the electronic statement of their (the Terms and Conditions) acceptance is sufficient for the establishment of contractual relations.

Definitions

For the purposes of these Terms and Conditions, the concepts listed below should be understood in the following sense:

Site or Website - www.sok.studio and all its subpages. In these Terms and Conditions, the terms "Site", "Website","Application" or "the Sok Studio Website" will be used as a reference to the website built on the specified domain and managed by the Merchant, through which the Customers can order the services offered by the Merchant.

Customer - a natural or legal person who concludes a contract with the Merchant for ordering the services offered by the Merchant through the use of the Sok Studio Website interface.

Consumer - any natural person who orders services that are not intended for commercial or professional activity, and any natural person who, as a party to a contract, acts outside the scope of his commercial or professional activity. For the purposes of interpreting these general terms and conditions, a Consumer is a person who has the status of "consumer" according to the consumer protection acts of the Federal Republic of Germany.

Terms and Conditions - these Terms and Conditions, which include terms of use, cookies,, and any other legally binding information found on the Site.

Private data - information about an individual that reveals his physical, psychological, mental, family, economic, cultural or societal identity.

Service - any material or intellectual activity, which is carried out independently, is intended for another person and does not have as its main subject the transfer of possession of goods. The services offered by the Merchant through the Sok Studio Website comprise printing and pre-printing services.

Service contract/Contract for service - a contract, other than a contract of sale, under which the Merchant provides or undertakes to provide a service to the Customer and the Customer pays or undertakes to pay the price for it.

Procedure for alternative resolution of consumer disputes - a procedure for out-of-court resolution of consumer disputes, meeting the requirements of this law and carried out by an authority for alternative resolution of consumer disputes.

  1. Services provide through the Sok Studio Website

    1. Through the Sok Studio Website, Customers have the opportunity to conclude contracts for services.
    2. The services offered by the Merchant through the Sok Studio Website comprise software design and development services.
    3. The services offered by the Merchant through the Sok Studio Website are intended for individuals and legal entities, as the Customer indicates in what capacity he is placing the order by providing the relevant data in the Sok Studio Website interface.
    4. Through the Sok Studio Website interface and upon direct communication with the Merchant, the Customer can specify the parameters of the services he wants to order as well as to place an order for the services.
    5. The Merchant does not guarantee the availability of the services and the constant uninterrupted access to the Sok Studio Website interface. The access can be suspended if necessary for maintenance of the website and, as well as in circumstances that prevent the Merchant from providing access to the website.
  2. Orders

    1. Customers use the website interface and the means of direct communication with the Merchant to enter into contracts with the Merchant for the services offered.
    2. The service contract is considered concluded from the moment an agreement is reached between the Merchant and the Customer.
    3. The payment of the price of the service is a necessary step for ordering a service in accordance with the Terms and Conditions. An order is only considered placed if a payment has been made.
    4. It is necessary for the Customer to provide data for the delivery of the service and for the issuance of a tax invoice for the price of the services.
    5. The Merchant has the right to refuse to conclude a contract with an incorrect Customer. A customer may be treated as "incorrect"when:
      1. there is non-compliance by the Customer with the Terms and Conditions.
      2. an incorrect, arrogant or rude attitude towards theMerchant's representatives has been established.
      3. by using the services, the Customer violates the law, the moral norms or the rights/interests of third parties and this circumstance is apparent or likely to the Merchant or its representatives.
      4. systematic abuses by the Client towards the Merchant have been established.
    6. The Customer agrees that the Merchant may use subcontractors, when providing the services. When the execution of the order is related to delivery, the Customer also agrees to the terms of delivery, which are incorporated by reference in these general terms and conditions.
  3. Price and Payment

    1. The prices of the goods or services offered are those agreed upon by the Merchant and the Customer.
    2. The customer can pay the price of the ordered services by means of payment with a bank or payment card. The merchant accepts card payments by using the services of a third-party payment operator, namely Stripe Inc.
    3. Payment by bank or payment card is a method involving a third party payment service provider. The customer may be bound by the terms and conditions and/or fees of such a third party.
    4. The Merchant reserves the right to establish other payment methods, in connection with which the present general conditions should be updated according to the specifics of the relevant payment method.
  4. Intellectual Property

    1. The intellectual property rights on all materials and resources located on the Merchant's website (including the available databases) are subject to copyright protection, belong to the Merchant or to the respective designated person who assigned the right of use to the Merchant, and cannot be used in violation of current legislation.
    2. In the case of copying or reproduction of information beyond what is permissible, as well as in case of any other violation of intellectual property rights on the Merchant's resources, the Merchant has the right to claim compensation for the direct and indirect damages suffered in full.
    3. Except in cases where it is expressly agreed, the Customer may not reproduce, change, delete, publish, distribute, and publicise in any other way the information resources published on Merchant's website.
    4. When upon the provision of the services new original works are created they are not to be considered “work for hire” and the Merchant retains all copyright and related rights over the respective objects.
  5. Additional Provisions

    1. The Merchant has the right at his discretion, without giving notice, to unilaterally terminate the contract, in case he finds that the services provided are used in violation of the Terms and Conditions, the applicable legislation and the generally accepted moral norms.
    2. Apart from the cases provided for in these Terms and Conditions, the contract between the parties is also terminated upon suspension of the Merchant's activity or termination of maintenance of his website.
    3. The written form of the contract is considered to be complied with by making an electronic statement of acceptance of the Terms and Conditions according to the provisions of the same.
    4. The parties declare that, in the event that any of the clauses under these Terms and Conditions is/are found to be invalid, this will not invalidate the entire contract or any of its other parts. The invalid clause will be superseded by the mandatory rules of law or established practice.
    5. The provisions of the current legislation of the Federal Republic of Germany apply to all matters not settled by these Terms and Conditions.
